XTI Aerospace after its CEO resignation and late 10-Q

As of the Aug 18 release, interim leaders from Drone Nerds and Mesa Air Group run XTI Aerospace, while an internal review holds up its June-quarter 10-Q. XTI Aerospace, Inc. (Nasdaq: XTIA) is a Dallas, Texas company and the parent of Drone Nerds, LLC.

On Aug 18, 2026, XTI Aerospace said in a press release that Scott Pomeroy had resigned as Chairman and Chief Executive Officer (CEO), effective immediately, and that its Form 10-Q for the quarter ended June 30, 2026 would be late.

The same release tied the delay to an internal review of the former CEO and related corporate governance matters. Neither the review's findings nor the reason for Pomeroy's departure appear in the release.

What Happened at XTI Aerospace

Scott Pomeroy resigned as Chairman and CEO, effective immediately. Jeremy Schneiderman, who has run Drone Nerds since 2014, became Interim CEO, and Jonathan Ornstein was elected Interim Chairman.

XTI Aerospace also filed a Form 12b-25, the Notification of Late Filing, for its 10-Q covering the quarter ended June 30, 2026. The stated cause is an internal review of the former CEO and related corporate governance matters. XTI Aerospace says it intends to file the 10-Q as soon as practicable.

The release gives no scope for the review and no findings. It also gives no reason for Pomeroy's resignation, so any explanation of his exit goes beyond what XTI Aerospace published that day.

XTI Aerospace's New Interim Leadership

Both new leaders at XTI Aerospace hold interim titles, and the release does not say how long either role will last.

Jeremy Schneiderman comes from Drone Nerds. He has been CEO of Drone Nerds, the subsidiary that runs the commercial drone business, since 2014. His wider record is in the Jeremy Schneiderman profile.

Jonathan Ornstein is a former Mesa Air Group CEO. He was CEO of Mesa Air Group from 1998 to November 2025 and its chairman from 1999 to November 2025, and he co-founded Virgin Express.

The Late 10-Q and the Missed Conference

XTI Aerospace filed a Form 12b-25 because its 10-Q for the quarter ended June 30, 2026 would not be ready on time. As of the sources used here, XTI Aerospace has published no results for the June quarter. Revenue and earnings for the period are unavailable.

The late filing also kept management away from a conference. XTI Aerospace management did not attend Needham's Annual Virtual Industrial Tech, Robotics and Power Conference, held Aug 17 to 18, and the release names the late filing as the reason.

What XTI Aerospace Sells

XTI Aerospace describes one commercial division and two development-stage divisions. The commercial drone solutions division operates through Drone Nerds. Drone Nerds handles drone hardware distribution, training, service, repair and lifecycle support.

The two development-stage divisions are autonomous defense systems and domestic manufacturing of unmanned systems components. The release gives no revenue figure for any of the three divisions. It cites the April 15, 2026 annual report for fiscal 2025.

Other listed names in the sector are grouped on the publicly traded drone companies page.
